1. Acceptance of Terms

By accessing or using the website trailops.biz (the “Site”) and the services provided by TrailOps LLC (“we,” “us,” or “our”), you agree to be bound by these Terms & Conditions. If you do not agree, you must immediately cease using the Site and our services.

2. Services Offered

TrailOps LLC is an AI systems, n8n automation, and SaaS development studio. We design, build, and deploy custom software, automation pipelines, AI integrations, and SaaS products. These services are delivered under specific project proposals, statements of work, or service agreements which supplement these Terms.

3. Fixed-Price Projects & Engagement

Typical engagements are scoped and delivered on a fixed-price basis. Scope adjustments and timelines are agreed upon prior to project kickoff. Timeline estimates (e.g., 3-6 weeks for custom SaaS MVPs, or 1 week for automations) are guidelines based on project specifications, and are dependent on prompt feedback and asset provision from the client.

4. Client Deliverables & Full Code Ownership

Upon receipt of full payment for the scoped project, TrailOps LLC transfers full ownership of all custom deliverables—including source code, documentation, assets, and deployment credentials—to the client. We do not require long-term retainers to keep your systems active, and we transfer all files to your repositories without vendor lock-in. We retain the right to use general modules, abstract libraries, and non-proprietary automation logic developed during the project for our studio library.

5. Third-Party Dependencies & Tools

Our developments frequently utilize third-party tools, APIs, and platforms (e.g., n8n, Supabase, Stripe, Vercel, OpenAI, Anthropic, Meta Graph API, LinkedIn Graph API). You acknowledge that:

• Your use of third-party platforms is subject to their respective terms of service and billing policies.
• TrailOps LLC is not responsible for API downtime, changes in third-party pricing, or platform-side suspensions.

6. User Conduct & Acceptable Use

You agree not to use our Site or custom solutions for any unlawful purpose. You may not attempt to disrupt the Site's systems, perform unauthorized vulnerability scans, run automated scrapers on our services, or upload malicious code.

7. Disclaimers & Limitation of Liability

OUR SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAILOPS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR REVENUE ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR CUSTOM DEVELOPMENT SOLUTIONS.

8. Indemnification

You agree to indemnify, defend, and hold harmless TrailOps LLC, its officers, employees, and agents, from and against any third-party claims, liabilities, damages, or expenses (including legal fees) arising from your breach of these Terms, your misuse of our developments, or your violation of applicable laws.

9. Governing Law & Jurisdiction

These Terms & Conditions and any disputes arising out of them shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Sheridan, Wyoming, USA.

10. Dispute Resolution

In the event of a dispute, controversy, or claim arising out of or relating to these Terms or our services, the parties shall first attempt to resolve the matter through informal mediation. If the dispute is not resolved within 30 days, it shall be settled by binding arbitration in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. When we make updates, we will revise the “Last Updated” timestamp at the bottom of this page. Your continued use of the Site or our services after updates are posted constitutes your acceptance of the revised Terms.
